AIM Research PeMa Quadrant – Terms & Conditions of Participation and Release

1. Acceptance of Terms
By submitting information to, participating in, or being named or plotted on the AIM Research Penetration & Maturity (PeMa) Quadrant (“Quadrant”), each vendor or company (“Participant”) expressly agrees to these Terms & Conditions. If you do not agree, you must notify AIM Research in writing prior to publication of any Quadrant in which you are featured.

2. Definitions
• “Quadrant” refers to the graphical and narrative output of AIM Research’s Penetration and Maturity evaluation.
• “Participant Materials” means all data, documents, presentations, and other information provided by Participant.
• “AIM Research” means Analytics India Magazine Pvt Ltd, its affiliates, and their officers, directors, employees, agents, and contractors.

3. No Claim or Challenge
3.1 Participant acknowledges that the Quadrant represents an independent, proprietary assessment by AIM Research of relative market positioning on two axes (“Penetration” and “Maturity”), based on AIM’s methodology.
3.2 Participant hereby unconditionally waives, releases, and forever discharges AIM Research from any and all claims, causes of action, suits, demands, or liabilities of any kind—whether in contract, tort, statute, or otherwise—arising from or relating to:
a) Participant’s inclusion or exclusion;
b) Participant’s position, placement, or category within the Quadrant;
c) AIM Research’s analysis, conclusions, commentary, or rankings;
d) Any inaccuracies, omissions, or perceived omissions in Participant Materials.

4. Disclaimers of Warranties
4.1 ALL QUADRANT CONTENT, ANALYSIS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.
4.2 AIM Research DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

5. Limitation of Liability
5.1 IN NO EVENT SHALL AIM RESEARCH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH PARTICIPANT’S INVOLVEMENT IN THE QUADRANT, EVEN IF AIM RESEARCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5.2 AIM Research’s AGGREGATE LIABILITY FOR ALL CLAIMS ARISING HEREUNDER SHALL NOT EXCEED ONE HUNDRED DOLLARS (US $100).

6. Indemnification
Participant shall defend, indemnify, and hold harmless AIM Research from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to any claim by a third party alleging that Participant Materials infringe or misappropriate any intellectual property right or violate applicable law.

7. Intellectual Property
7.1 Participant hereby grants AIM Research a non-exclusive, worldwide, royalty-free license to use, reproduce, publish, and display Participant Materials solely in connection with the Quadrant and related marketing.
7.2 All intellectual property rights in the Quadrant (including the underlying methodology) remain the exclusive property of AIM Research.

8. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. The parties agree that any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.

9. Miscellaneous
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No Waiver. Failure by AIM Research to enforce any right shall not constitute a waiver of such right.
• Amendments. AIM Research may modify these Terms at any time by posting updated terms on its website. Continued participation constitutes acceptance of such changes.
• Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Quadrant and supersede all prior communications.
