Visa Is Spending $2.4 Billion to Stop AI-Powered Fraud

Visa announced on August 3 that it is acquiring BioCatch for $2.4 billion in cash, the largest acquisition in behavioral biometrics, according to the press release.

BioCatch's technology is built around a specific insight: the way a genuine customer interacts with a digital banking session is fundamentally different from the way a fraudster, a bot, or a coerced victim does. 

Keystroke timing, touch screen pressure, device handling, how a phone is held, and the rhythm of navigation are behavioral signals that generate a continuous stream of data that BioCatch's AI models process in milliseconds to distinguish legitimate users from threats. The assessment begins the moment a session opens, not when a payment is submitted.

"Account takeovers and scams cost the global economy over $1 trillion annually and AI is enabling these attacks at unprecedented scale," said Andrew Torre, Visa's President of Value-Added Services. "BioCatch will help our clients stop fraud before it reaches the point of payment."

Permira, a UK-based private equity firm, took a controlling stake in BioCatch two years ago at a $1.3 billion valuation. The $2.4 billion all-cash exit is an 85% step-up, according to the press release. 

The attacks that BioCatch is designed to detect have become both more frequent and harder to identify through traditional rule-based fraud systems.

Visa has invested more than $13 billion in technology and infrastructure over the past five years to protect the payments ecosystem. BioCatch extends that protection to the layer that existing investment could not reach, the behavioral session that precedes every transaction. 

The combination gives Visa the ability to protect the full customer journey from account opening through to payment authorization, according to the press release.

BioCatch's existing network effect adds a dimension that is difficult to replicate. The company has demonstrated that sharing behavioral intelligence in real time between its banking clients amplifies the detection capability beyond what any single institution could achieve alone. 

"In the last couple of years, we've shown how real-time intelligence-sharing networks between our customers can amplify the power of our behavioral intelligence further still," said Gadi Mazor, CEO of BioCatch.

Visa's network of nearly 14,500 financial institutions, processing over 329 billion transactions annually worth more than $17 trillion, will extend that intelligence-sharing model to a scale BioCatch could not reach independently. The transaction is subject to regulatory approvals and expected to close by the end of Visa's fiscal second quarter of 2027.
